Terms of service
The terms that apply to every Ralph & Grandsons project. Last updated 13 October 2026.
About these terms
These terms apply to all services provided by Ralph & Grandsons (ABN 69 750 648 427), a sole trader based in Newcastle, NSW. Your proposal sets out the specific scope, price and timeline for your project. If anything in a proposal conflicts with these terms, the proposal applies.
Proposals and quotes
- Projects are quoted at a fixed price based on the agreed scope.
- Quotes are valid for 30 days from the date of the proposal.
- Work begins once you accept the proposal in writing and any deposit has been paid.
- Prices include GST where applicable.
Changes to scope
If you would like to add to or change the agreed scope, we will tell you how it affects the price and timeline and agree it with you in writing before doing the extra work. Nothing is added to your bill without your approval.
Payment
- Unless your proposal says otherwise, we invoice a 50% deposit on acceptance and the remaining 50% on completion, before launch.
- Larger projects may be invoiced in stages tied to milestones set out in the proposal.
- Invoices are due within 14 days.
- Ongoing care plans and hosting are billed in advance for each period.
- We may pause work if an invoice is overdue.
Your responsibilities
To keep your project on schedule, you agree to:
- provide content, information and access we need in a timely way
- review work and give feedback or approvals within a reasonable time
- make sure you have the right to use any content, images, logos or data you give us
Delays in receiving content or feedback may affect the timeline.
Ownership and intellectual property
What you own. Once all invoices for the project are paid, you own your content, domain, accounts and the custom design created specifically for your project. The custom design created for your business will not be copied for other clients.
What we keep. Our websites and software are built on our own library of tools, code components, templates and methods, including improvements we make to them during your project. We continue to own these and may use them for other clients.
Your licence. You receive a permanent, non-exclusive, royalty-free licence to use, modify and maintain our tools and code components as part of your website or software, including if you later move to another provider.
Third-party software. Platforms, plugins, fonts, images and other third-party materials remain under their own licences and terms.
Know-how. We remain free to use the general skills, knowledge and techniques we develop while working on any project.
Third-party services
Your project may rely on third-party services such as hosting, domain registration, email, payment systems or AI providers. These are subject to the provider's own terms and pricing. Where we set these up on your behalf, accounts are registered in your name or transferred to you, and any ongoing fees are passed on at cost or paid by you directly.
Confidentiality
We keep your business information, data and content confidential. We only use it to deliver and support your project, and never reuse it on other projects. See our Privacy Policy for how we handle personal information.
Launch, warranty and support
- We will fix any defects in our work that you report within 30 days of launch at no extra cost.
- After that period, changes and support are available under an ongoing care plan or quoted separately.
- We are not responsible for problems caused by changes made by others, third-party services or updates outside our control.
Liability
Nothing in these terms excludes any rights you have under the Australian Consumer Law that cannot be excluded. To the extent permitted by law, our total liability for any claim relating to a project is limited to the fees you paid for that project, and we are not liable for indirect or consequential loss, such as loss of profit or data.
Ending a project
Either party may end a project by written notice. If this happens, you pay for work completed up to that point, and we hand over the completed work once that payment is made. Deposits cover work already scheduled and are non-refundable once work has started.
Showcasing our work
We may show completed projects on our website and in our portfolio. If you would prefer we didn't, just let us know and we will keep your project private.
Governing law
These terms are governed by the laws of New South Wales, Australia.
